What's the difference between a general business broker and a Merger and Acquisitions (M & A) Intermediary?

The answer is basically twofold:

First, the M & A Intermediary will be selling larger businesses. The business will typically have:

  • A sales price of $1 Million and up
  • Gross revenues in excess of $2 Million
  • Good books and records
  • Experienced staff and employees
  • Business to business sales
  • Five years or longer track record of business operations
  • More complex sale with significant tax consequences to the Seller, if not handled properly.
  • Confidentiality of sale is of major importance
  • Typically a cash sale with most all financing provided by third party lenders who may require appraisals of the business, equipment, and real estate in addition to environmental reports on the property

Secondly, the M & A Intermediary is a much higher skilled individual with specialized knowledge and training in business evaluations, financial statement analysis, taxes and deal-making negotiations.

The M & A Intermediary will be the facilitator responsible for working with the principals, their legal and tax advisors, and the financing sources so that the sale gets consummated on schedule. The selling process is much more complex than the sale of a smaller business, therefore, most M & A Intermediaries usually have at least 10 years of direct experience in selling businesses and industry certification of their qualifications.
